This Non-Compete Agreement (hereinafter referred to as "Agreement") is made and entered into on this ______ day of ____________, 20__, by and between ______________________ (hereinafter referred to as "Employee") and ______________________ (hereinafter referred to as "Employer"), collectively referred to as the "Parties".

WHEREAS, the Employee agrees to not engage in certain activities that would compete with the Employer's business during and after their employment period, in accordance with the terms and conditions set forth in this Agreement.

WHEREAS, this Agreement is governed by and construed in accordance with the laws of the State of Delaware, including but not limited to, the Delaware Code Title 6, Sections 2700-2708, that regulate the use and enforceability of non-compete agreements within the state.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

  1. Non-Compete Duration and Scope: The Employee agrees that during the term of employment and for a period of ______ [months/years] thereafter, the Employee will not directly or indirectly engage in any business that competes with the Employer within a geographic radius of ______ [miles/kilometers] from the Employer's primary place of business.
  2. Non-Solicitation: For a period of ______ [months/years] following the termination of employment, the Employee agrees not to solicit or attempt to solicit any business, clients, or employees of the Employer for the benefit of a competitor or for their own benefit.
  3. Confidentiality: The Employee acknowledges that during the course of employment, they will have access to and become acquainted with various confidential information, proprietary to the Employer. The Employee agrees to maintain the confidentiality of all such information during and after their employment.
  4. Return of Property: Upon termination of employment, the Employee agrees to return all employer property, including but not limited to, documents, equipment, and electronic devices, in their possession or control.
  5. Remedies for Breach: In the event of a breach or threatened breach of this Agreement by the Employee, the Employee acknowledges that the Employer will suffer irreparable harm and that monetary damages would be insufficient. Accordingly, the Employer is entitled to seek injunctive relief in addition to any other remedies it may have at law or in equity.
  6. Severability: If any provision of this Agreement is held to be invalid, illegal or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
  7. Entire Agreement: This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all previous agreements and understandings, whether oral or written.
  8. Amendments: No amendment, change, or modification of any of the terms, provisions, or conditions of this Agreement shall be effective unless made in writing and signed or initialed by both Parties.
  9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule.
